Terms of Service

Please read these terms carefully. By accessing or using COMPLi, you agree to be bound by these Terms of Service. If you are using COMPLi on behalf of an organization, you represent that you have authority to bind that organization to these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the COMPLi platform and services ("Service"), operated by Compli Group Inc. ("COMPLi," "we," "our," or "us"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

2. Description of Service

COMPLi is a compliance management platform for skilled nursing facilities (SNFs) and long-term acute care hospitals (LTACs). The Service includes tools for ambassador rounds, environmental rounds, CAHPS surveys, incident reporting, grievance tracking, QAPI, mock surveys, and an executive compliance dashboard.

3. Accounts and Access

Account creation — You must provide accurate, current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Authorized users — Access to the Service is granted to individuals authorized by your organization. You are responsible for ensuring that all users of your account comply with these Terms.

Account security — You must notify us immediately at support@compli.health of any unauthorized access to your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service in any way that violates applicable law or regulation, including HIPAA
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or otherwise attempt to extract source code from the Service
  • Use the Service to transmit malicious code, spam, or unauthorized data
  • Resell, sublicense, or otherwise commercially exploit the Service without our written consent
  • Use the Service in a manner that could damage, disable, or impair its operation

5. HIPAA and Protected Health Information

If your use of COMPLi involves Protected Health Information (PHI) as defined under HIPAA, you must execute a Business Associate Agreement (BAA) with COMPLi prior to such use. The BAA governs COMPLi's obligations with respect to PHI and is incorporated into these Terms by reference.

You are responsible for ensuring your use of the Service complies with all applicable federal and state healthcare privacy laws, including HIPAA and applicable state regulations.

6. Data Ownership

You retain all ownership of the data your organization enters into COMPLi ("Customer Data"). COMPLi does not claim ownership of your Customer Data. By using the Service, you grant COMPLi a limited license to process your Customer Data solely for the purpose of providing and improving the Service.

We will not use your Customer Data for any purpose other than delivering the Service to you, as further described in our Privacy Policy.

7. Intellectual Property

COMPLi and its licensors own all rights, title, and interest in the Service, including all software, design, trademarks, and content. These Terms do not grant you any rights to use COMPLi's intellectual property except as expressly permitted.

Feedback or suggestions you provide about the Service may be used by COMPLi without restriction or compensation.

8. Service Availability

We aim to provide reliable, high-availability service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

COMPLi is not responsible for any compliance failures, regulatory citations, or other outcomes arising from Service unavailability. COMPLi is a tool to support compliance workflows. It does not replace the professional judgment of qualified healthcare administrators and clinicians.

9. Payment and Subscription

Access to the Service is subject to a subscription agreement between your organization and COMPLi. Fees, billing terms, and payment conditions are set out in your subscription agreement or order form.

Failure to pay applicable fees may result in suspension or termination of access to the Service.

10. Termination

Either party may terminate the Service relationship in accordance with the terms of your subscription agreement. COMPLi reserves the right to suspend or terminate your access immediately if you materially breach these Terms, including any violation of Section 4 (Acceptable Use) or Section 5 (HIPAA).

Upon termination, your right to access the Service ends. You may request an export of your Customer Data within 30 days of termination, after which we may delete your data in accordance with our data retention policies.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. COMPLI DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM SECURITY VULNERABILITIES.

COMPLI IS A COMPLIANCE SUPPORT TOOL. IT DOES NOT CONSTITUTE LEGAL, REGULATORY, OR CLINICAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR YOUR ORGANIZATION'S COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY REGULATORY CITATIONS, FINES, OR SURVEY OUTCOMES.

COMPLI'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO COMPLI IN THE THREE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless COMPLi and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or in-app notice and update the "Last updated" date above. Continued use of the Service after notice constitutes acceptance of the updated Terms.
